Terms of Service

The terms that govern your use of the Creweng, LLC website, the client account and every engagement with us, whether a professional service, a pilot of a venture or a feature of this site.

Effective date: 18 October 2026 (draft) · Version 0.1-draft

DRAFT — not yet reviewed

This document is a draft written without legal advice. It has not been reviewed by a lawyer and should not be relied on as a final statement of our terms. A professional review is scheduled before launch; the version number above changes when it is done.

The terms that limit our liability or shift risk, in plain words

Sections 6 and 7: you check anything our AI or deliverables produce before relying on it, and you release us from claims for errors in those outputs. Section 16: we are not liable for indirect or consequential losses (such as lost profits or data), and any claim is capped at the greater of US$100 and the fees you paid us for the engagement or product concerned in the 12 months before the claim. Section 17: you indemnify us against claims arising from your breach of the Terms or the law. None of this excludes losses caused by our gross negligence, fraud or dishonesty, or any right consumer law gives you that cannot be excluded.

This summary is shown before you accept the Terms. It is a faithful summary of sections 6, 7, 16 and 17 below; where the two differ, the sections govern.

01

Definitions

  • “Creweng”, “we”, “us” means Creweng, LLC, a limited liability company formed in New Mexico, USA.
  • “You” means the person or organisation using the Site or contracting with us. Where you act for an organisation, you confirm you have authority to bind it.
  • “Consumer” means an individual in the UK or the EU acting wholly or mainly outside their trade, business, craft or profession.
  • “Site” means https://creweng.com, its client account and the features it offers, including the AI Features.
  • “Services” means the professional services we provide under a written scope and quote (a “Statement of Work”).
  • “Ventures” means the long-horizon tracks described at /ventures. They are in development or research; nothing is released or for sale.
  • “Deliverables” means the reports, studies, design packs, code and other work we deliver under a Statement of Work.
  • “AI Features” means the site assistant (the Guide), the scoping assistant and the boundary-test tool, and “Outputs” means anything they produce.
02

Introduction and acceptance

These Terms are a contract between you and Creweng, LLC. You accept them by using the Site, by creating a client login, or by signing a Statement of Work that refers to them. When you create a login you tick a statement that names this version and sections 6, 7, 16 and 17; that tick is your electronic signature (section 22) and we keep its wording as the record of your acceptance.

You must be 18 or older to create a login or to contract with us. A Statement of Work may add terms for a particular engagement; where it conflicts with these Terms, the Statement of Work governs that engagement.

03

Information about us

Creweng, LLC is a limited liability company formed in New Mexico, USA. Contact: hello@creweng.com. Registered address, state entity number and any tax registration numbers we are required to show you: [TBC].

Where UK or EU law requires further information from a trader (for example the UK Electronic Commerce (EC Directive) Regulations 2002 or Directive 2000/31/EC), it is given here or in the Statement of Work.

04

Scope of the Services, the Ventures and the Site

The Services are described at /services: water and heat siting and obligations, industrial AI assurance, and AI, agent and security services. Each engagement is scoped and quoted in writing; there are no public prices and no obligation arises until a Statement of Work is agreed.

The Ventures are not products. A pilot or a collaboration is agreed in writing, case by case, and is governed by these Terms and by that written agreement.

The Site publishes information about us, offers the AI Features, and gives clients an account for projects, quotations, invoices and support tickets.

05

Regulatory status: what we are not

We are an engineering consultancy. We are not a law firm, an accountancy, a financial adviser, a permitting authority, a notified or conformity-assessment body or a certification scheme, and nothing we publish or deliver is legal, tax, financial, planning or regulatory advice or a certification.

A siting and obligations study, a boundary test, a harness audit and an assurance report are engineering work. Where a permit application, a legal opinion, a conformity assessment or professional sign-off is needed, the Deliverable says so and we work with your advisers. Credentials and registrations we hold: [TBC].

06

Deliverables and Outputs: reliability, your checks and release

Please read this section and section 7 carefully

They limit what you can claim from us for errors in what we or our AI Features produce. The summary at the top of this page describes them in plain words.

Deliverables and Outputs are produced from the information available to us, the assumptions stated in them and the scope agreed. They may be incomplete, out of date or wrong. Before you rely on a Deliverable or an Output, and before anyone acts on it, you check it against your own information, your advisers and the authorities concerned.

To the extent the law allows, you release Creweng, LLC, its members, officers and contractors from claims arising from errors or omissions in Deliverables or Outputs, and from any decision you or a third party takes in reliance on them. This release does not apply to losses caused by our gross negligence, fraud or dishonesty, to death or personal injury caused by our negligence, or to any right that consumer law gives a Consumer and does not allow us to exclude.

A Deliverable is accepted when you confirm it in writing or when fourteen days pass after delivery without a written objection; the Statement of Work may say otherwise. Corrections of errors we introduced are made without charge within the period the Statement of Work gives.

07

AI Features and automated systems: assumption of risk

The AI Features generate text with machine-learning models. The Guide answers only from our published pages and cites what it used; the scoping assistant turns what you tell it into a draft scope; the boundary-test tool sends test prompts to an AI system you name and records how it replies. None of them gives advice, none makes a decision about you, and nothing they say is a quote, a contract or a certification.

You use the AI Features at your own risk. You accept that Outputs can be inaccurate, incomplete or unsuitable for your purpose, that a boundary test exercises the system you name and may change its state, and that you must only test systems you own or are authorised in writing to test. We may limit, pause or end a conversation or a run, for abuse, off-topic use, or when the limits stated in the feature are reached.

Where UK or EU data-protection law applies, no AI Feature makes a decision with legal or similarly significant effect on you (UK GDPR and GDPR Article 22). The Privacy Notice says what each feature collects and where it is processed.

08

Eligibility and client accounts

A client login is for people working with us on an engagement. You must give accurate details, keep your password and passkeys to yourself and tell us at once if you believe your login has been misused. You are responsible for what is done through your login until you tell us.

You may delete your login at any time from your account page. We may suspend or close a login that breaches these Terms or has been inactive for the period the Privacy Notice gives.

09

Cancellation and cooling-off (Consumers in the UK and the EU)

If you are a Consumer and contract with us at a distance, you may cancel within 14 days of the day the contract is made without giving a reason (UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013; Directive 2011/83/EU). Tell us by email at hello@creweng.com or by any clear statement; a model cancellation form is available on request [TBC].

If you ask us in writing to start work within the 14 days, you pay for the part of the service performed before you cancel. Once a service has been fully performed at your express request, with your acknowledgement that the right to cancel is then lost, it cannot be cancelled.

Business clients have no cooling-off period; cancellation of an engagement is governed by the Statement of Work and section 19.

10

Ventures, pilots and refunds

Nothing on the Ventures pages is released or for sale, and no payment is taken for a Venture through the Site. A pilot or a collaboration is agreed in a written agreement that states its scope, its fee if any, and its refund terms. Where no refund term is written, fees for work already performed are not refunded; fees paid for work not yet started are refunded in full.

Where the law gives a Consumer a right to a refund, repair or repeat performance that we cannot exclude, that right applies.

11

Fees for professional services

Fees, the currency, the payment schedule, taxes and expenses are stated in the Statement of Work. Quotes are valid for the period they state. Unless the Statement of Work says otherwise, invoices are payable within 30 days; late payment may carry interest at the rate the Statement of Work states or, failing that, the rate the law of New Mexico, USA allows, and we may pause work while an invoice is overdue.

A change to the scope is agreed in writing before it is performed and may change the fee and the dates. We do not publish prices; a figure quoted by an AI Feature is not a quote.

12

Confidentiality

Each party keeps the other’s confidential information confidential, uses it only for the engagement, and discloses it only to people who need it and are bound to keep it confidential. The duty lasts for five years after the engagement ends, or indefinitely for trade secrets, and does not cover information that is public, already known, independently developed or required to be disclosed by law.

We may name you as a client, or describe the work, only with your written consent. Without it, a case study is anonymised and withholds the figures, as the one at /case-studies does.

13

Acceptable use

  • Do not use the Site or the AI Features to break the law, to infringe anyone's rights or to send us other people's personal data without a lawful basis.
  • Do not point the boundary-test tool at a system you do not own or are not authorised in writing to test, and do not use it to attack, overload or disrupt any system.
  • Do not probe, scrape, overload or interfere with the Site, its rate limits or its security; do not attempt to reach another person's account or data.
  • Do not use Outputs to impersonate us, or present an Output as our advice, quote or certification.
  • Do not submit passwords, keys, card details or other secrets to an AI Feature.

We may suspend access to the Site or a feature while we investigate a suspected breach.

14

Intellectual property and data ownership

Your data stays yours. You give us a licence to use the information you provide only to perform the engagement and to operate the Site. Deliverables are licensed or assigned to you as the Statement of Work says; where it is silent, on full payment you receive a perpetual, worldwide licence to use the Deliverables for your own business, and we keep the methods, templates, tools and know-how we used to produce them.

The Site, its content, design and code are ours or our licensors’ and may not be copied beyond what the Site offers. Open-source components are under their own licences.

15

Disclaimer of warranties

We perform the Services with reasonable care and skill. Beyond that, and to the extent the law allows, the Site, the AI Features, the Ventures and the Deliverables are provided as they are, and we exclude all implied warranties, including merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement and uninterrupted or error-free operation.

If you are a Consumer, nothing in this section removes the rights the law gives you, including that services be performed with reasonable care and skill and that digital content be as described.

16

Limitation of liability

Limitation of liability

To the extent the law allows, Creweng, LLC is not liable for indirect, incidental, special, consequential or punitive losses, or for loss of profit, revenue, business, goodwill, data or anticipated savings, however arising.

Our total liability to you for all claims arising out of or in connection with these Terms, the Site, the AI Features, a Venture or an engagement, in contract, tort (including negligence), breach of statutory duty or otherwise, is capped at the greater of US$100 and the fees you paid us for the engagement or product concerned in the 12 months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or dishonesty, or for any liability that cannot be excluded or limited by applicable law, including the rights consumer law gives a Consumer.

A Statement of Work may state a different cap for that engagement; where it does, that cap applies to that engagement.

17

Indemnification

You indemnify Creweng, LLC, its members, officers and contractors against claims, losses, damages and reasonable costs arising from your breach of these Terms or of the law, from the information and materials you give us, from your use of Deliverables or Outputs outside the scope agreed, or from a boundary test run against a system you were not authorised to test.

We tell you promptly of a claim, let you control its defence where the law allows, and do not settle it in a way that binds you without your consent. If you are a Consumer, this indemnity applies only to the extent consumer law permits.

18

Service availability

The Site and the AI Features are provided without a guaranteed level of availability. We may change, suspend or withdraw a feature at any time; where a feature is part of an engagement, the Statement of Work says what applies. Scheduled maintenance is announced where practicable.

19

Termination

Either party may end an engagement on the notice the Statement of Work gives or, if it gives none, on 30 days’ written notice. Either party may end it at once if the other commits a material breach that is not remedied within 14 days of written notice, or becomes insolvent.

On termination you pay for work performed to the date of termination, we deliver work in progress that has been paid for, and each party returns or deletes the other’s confidential information, subject to the retention the Privacy Notice and the law require.

20

Third-party links and services

The Site links to and uses third-party services, including the hosting, email, booking and model providers named in the Privacy Notice. We are not responsible for their content or terms. Your use of a third-party service is governed by its own terms.

21

Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, war, civil disorder, epidemic, government action, failure of utilities or networks, or the unavailability of a third-party provider. The affected party tells the other promptly and the dates are extended by the delay.

22

Electronic communications and signatures

You agree that we may communicate with you electronically, and that notices sent to the email address on your account or in the Statement of Work are received when sent. A tick in a box, a typed name, an emailed approval or an acceptance recorded in your account is an electronic signature with the same effect as a handwritten one (US E-SIGN Act and Uniform Electronic Transactions Act; UK Electronic Communications Act 2000; EU Regulation 910/2014).

We keep the wording of the statement you accepted, its version and the time, as the record of your acceptance.

23

Dispute resolution

If a dispute arises, each party first raises it in writing and the parties meet, in person or online, within 30 days to try to resolve it. If that fails, either party may bring proceedings as section 28 provides.

If you are a Consumer, you may also bring a claim in the courts of the country where you live, and you may use an alternative dispute resolution body where one is available to you: [TBC].

24

Individual claims

To the extent the law allows, claims under these Terms are brought by each party individually and not as a plaintiff or class member in a class, collective or representative action. This section does not apply to a Consumer where the law of the country they live in does not permit such a waiver.

25

Survival

Sections 6, 7, 12, 14, 15, 16, 17, 22, 23, 24, 27, 28 and 29, and any payment obligation that has accrued, survive the end of an engagement and the closing of a login.

26

Assignment

You may not assign or transfer these Terms or a Statement of Work without our written consent. We may assign them to a successor to our business, and may use subcontractors, remaining responsible for their work.

27

Aggregate and anonymised data

We may use information that does not identify you or your organisation, including anonymised, aggregated or statistical data derived from the Site and from engagements, to operate and improve the Site and the Services and to publish anonymised case studies as section 12 provides. Personal data is handled only as the Privacy Notice describes.

28

Governing law and jurisdiction

These Terms and every Statement of Work are governed by the laws of the State of New Mexico, United States of America, without regard to its conflict-of-law rules, and the state and federal courts located in New Mexico have jurisdiction over disputes arising from them.

If you are a Consumer in the UK or the EU, this choice of law does not deprive you of the protection of the mandatory consumer-protection rules of the country where you live, and you may bring proceedings in the courts of that country. Nothing in these Terms limits a right that UK GDPR, the GDPR or consumer law gives you and does not allow to be excluded.

29

Severability, entire agreement and waiver

If a provision of these Terms is held invalid or unenforceable, it is read down to the extent needed and the rest remains in force. These Terms, the Privacy Notice and any Statement of Work are the entire agreement between the parties about their subject and replace earlier agreements and representations.

A failure or delay in exercising a right is not a waiver of it. Headings are for convenience only.

30

Amendments to these Terms

We may amend these Terms. The version and effective date at the top change when we do. For a material change we give account holders at least 14 days’ notice by email or on the account page before it takes effect, and ask you to accept the new version the next time you sign in; an engagement in progress stays on the version its Statement of Work names unless both parties agree otherwise.

Questions about these Terms: hello@creweng.com.
